Stylecz Salon Partner Agreement
Last updated: 3 August 20261. Agreement and authority
This agreement is between ZENTRIVO SOLUTIONS (OPC) PRIVATE LIMITED ("Zentrivo") and the salon business accepted as a Stylecz partner ("Partner"). The person accepting it confirms authority to bind the Partner. The Commercial Schedule shown during onboarding or in the partner dashboard forms part of this agreement and records the applicable commission, taxes, payout cycle and other commercial terms.
2. Independent business
The Partner is an independent service provider, not an employee, agent, franchisee or joint venture of Zentrivo. The Partner controls and is responsible for its premises, personnel, licences, registrations, insurance where required, taxes, services, professional advice, hygiene, safety, invoices and compliance with law.
3. Verification and KYC
The Partner must provide accurate owner, business, address, bank, tax and identity information and any documents reasonably required for verification, payment-provider due diligence or legal compliance. Zentrivo may verify documents, beneficial ownership, bank details and business history. The Partner must promptly report changes and must not use another person's identity or bank account without lawful authority.
4. Listings, pricing and availability
Service names, descriptions, duration, inclusions, exclusions, staff skills, photos, opening hours, slots, prices, taxes and offers must be complete and current. The Partner must honour the confirmed price and may not impose an undisclosed mandatory charge. Optional add-ons require customer consent. Obvious errors must be reported before service and resolved fairly without misleading the customer.
5. Commission, settlement and payouts
Zentrivo may deduct only the commission, platform fees, taxes, refunds, chargebacks, penalties or adjustments disclosed in the Commercial Schedule or otherwise authorised by this agreement and law. Net settlements follow the cycle and bank account displayed in the partner dashboard. A payout may be held while KYC, a refund, chargeback, fraud alert, legal direction or reconciliation issue is unresolved. Statements must show relevant deductions and references; discrepancies should be reported promptly.
6. Cancellations and no-shows
The Partner must keep availability accurate and avoid cancelling confirmed bookings. If the Partner cancels, cannot provide the paid service, or cannot provide the preferred barber and the customer rejects a proposed substitute, the customer is entitled to a full refund of the affected prepaid amount. That refund may be recovered from unsettled or future Partner payouts. Customer late-cancellation and no-show treatment applies only when clearly disclosed before booking, supported by a reasonable attendance record, and implemented in the Stylecz flow. Repeated avoidable Partner cancellations may affect ranking, benefits or access after review.
7. Hygiene and professional conduct
The Partner must maintain clean premises and tools, follow applicable sanitation and waste-disposal requirements, use suitable products, maintain trained staff, and provide services with reasonable care and skill. Staff must behave respectfully and must not discriminate, harass, threaten, intoxicate themselves while serving, perform an unagreed service, or make unsafe or misleading claims. Serious safety or misconduct concerns must be reported and preserved for investigation.
8. Customer data confidentiality
Customer information received through Stylecz may be used only to manage the relevant booking, provide the requested service, issue a lawful invoice, handle a complaint or meet a legal duty. It must not be sold, scraped, exported for unrelated marketing, shared with unauthorised persons or retained longer than necessary. Access must be limited to staff who need it, and suspected loss or unauthorised access must be reported to Zentrivo immediately.
9. Complaints, refunds and compensation
The Partner has primary responsibility for the salon service and must cooperate promptly with Stylecz complaint handling. This includes providing booking, attendance, service, invoice and communication records. Depending on evidence, confirmed terms and law, the remedy may be a correction, redo, full or partial refund, or compensation. Amounts attributable to the Partner may be deducted or recovered, but Zentrivo remains responsible for errors caused by its own platform or payment operations.
10. Reviews and fraudulent bookings
The Partner and its staff must not create fake bookings, self-reviews, review rings or sham transactions; buy or coerce ratings; offer an undisclosed reward for a positive review; retaliate against honest feedback; misuse offers; or assist payment fraud. The Partner may report a review or booking with evidence and receive a fair review. Stylecz may preserve records, reverse benefits and cooperate with payment providers or authorities where appropriate.
11. Records, audit and cooperation
The Partner must keep records reasonably necessary to support bookings, services, attendance, invoices, refunds, staff authority and legal compliance. On reasonable notice, or immediately for a serious safety, fraud or legal issue, the Partner must provide relevant records while protecting unrelated personal data. Zentrivo may audit compliance proportionately and require corrective action.
12. Suspension and termination
Zentrivo may restrict visibility, payouts or access where reasonably necessary for safety, fraud prevention, invalid KYC, repeated cancellations, inaccurate pricing, data misuse, customer harm, unpaid amounts or legal compliance. Except where urgent action is necessary, the Partner should receive the reason and an opportunity to respond. Either party may terminate under the notice stated in the Commercial Schedule. Accrued payment, refund, confidentiality, record, complaint and liability obligations survive closure.
13. Law, notices and acceptance record
Indian law governs this agreement. Disputes should first be raised at [email protected] without limiting access to a competent court, regulator or statutory remedy. Electronic acceptance, the agreement version, timestamp, accepting user and Commercial Schedule must be recorded. Material changes require notice and, where they materially change Partner obligations, renewed acceptance before they take effect.
